Business tax return   


This feature includes preparing your business tax return to comply with all applicable federal and state tax laws. All you will have to do is submit the basic information we require and our professional tax advisers will do all the rest for you.

If you filed Articles of Organization with your Secretary of State to establish an Limited Liability Company, then you are an LLC and should file form 1065 (Partnerships) and all related forms, statements and schedules.

If you filed Articles of Incorporation, or establish an LLC your business is a C Corporation, you should file form 1120 (C corporation) and all related forms, statements and schedules.


Personal tax return

All nonresident alien individuals file this Form whether or not engaged in trade or business within the United States; required for filing nonresident alien fiduciary (estates and trusts) returns.


ITIN   

 This feature includes preparing your ITIN application to comply with all applicable federal and state tax laws.   

Individual Taxpayer Identification Number (ITIN) is a tax processing number issued by the Internal Revenue Service. Individuals who are required to have a U.S. taxpayer identification number but who do not have, and are not eligible to obtain a Social Security Number (SSN) from the Social Security Administration (SSA), may apply and obtain ITIN issued by the IRS. 

ITINs are issued regardless of immigration status because both resident and nonresident aliens may have U.S. tax return and payment responsibilities under the Internal Revenue Code. To be eligible for ITIN, Individuals must have a filing requirement and file a valid federal income tax return.

     

Franchise tax return   


This feature includes preparing your US business franchise tax return to assure your company complies with all state incorporation laws and maintain its good standing status.

All corporations incorporated in the State of Delaware are required to file an Annual Report and to pay a franchise tax. Exempt domestic corporations do not pay a tax but must file an Annual Report.  The Annual Report filing fee for all other domestic corporations is $50.00 plus taxes due upon filing of the Annual Report.  Taxes and Annual Reports are to be received no later than March 1st of each year.  The minimum tax is $75.00 for corporations using the Authorized Shares method and a minimum tax of $350.00 for corporations using the Assumed Par Value Capital Method. All corporations using either method will have a maximum tax of $180,000.00.  Taxpayers owing $5,000.00 or more pay estimated taxes in quarterly installments with 40% due June 1, 20% due by September 1, 20% due by December 1, and the remainder due March 1. The penalty for not filing a completed Annual Report on or before March 1st is $125.00 Interest at 1.5% per month is applied to any unpaid tax balance.

Notification of Annual Report and Franchise Taxes due are sent to all Delaware Registered Agents in December of each year. Delaware has mandated electronic filing of domestic corporations Annual Reports

Annual Reports and Corporations Ending Their Existence or Renewing Status
Any Delaware Corporation that is ending it's existence or reinstating their status to good standing is required by law to file an Annual Report and pay any and all tax due.

Foreign Corporations

Foreign Corporations are required to file an Annual Report on or before June 30th.. The fee for filing the Annual Report is $125.00. Foreign corporations are assessed a penalty of $125 if the Annual Report is not filed.


LP/LLC/GP Tax

Although Limited Partnerships, Limited Liability Companies and General Partnerships formed in the State of Delaware do not file an Annual Report, they are required to pay an annual tax of $250.00.  Taxes for these entities are due on or before June 1st of each year. Penalty for non-payment or late payment is $200.00. Interest accrues on the tax and penalty at the rate of 1.5% per month.

Company status check

    

This feature includes running a “GOOD STATUS” check to assure your company complies with all state incorporation laws and maintain its good standing status.

Your business entity must remain in “GOOD STANDING” to comply with US incorporation laws. To stay in such status you must file all applicable tax returns and related statements. Failing to do so, may result in revocation of your business authority and the company may be “FORFEITED” (“Forfeited” means the “legal existence” of the entity has been relinquished).
